1. PURPOSE

3. DURATION AND TERMINATION

3.3 Either Party may terminate this MOU by giving 30 (thirty) days' written notice to the other Party.
4. GENERAL PROVISIONS
4.1 This MOU does not create a partnership, joint venture, or agency relationship between the Parties.
4.2 Each Party shall bear its own costs and expenses incurred in connection with the activities contemplated under this MOU, unless otherwise agreed in writing.
4.3 This MOU constitutes the entire understanding between the Parties with respect to the subject matter hereof and supersedes all prior discussions and agreements.
4.4 Any amendment to this MOU shall be in writing and signed by both Parties.
